Davis Polk advised Technicolor SA in connection with the successful repricing of a USD763 million and EUR301 million senior secured term loan facility for Tech Finance and Co S.C.A., a stand-alone Luxembourg special-purpose vehicle. The repricing transaction, among other things, reduced the interest rate margin on the term loans by 50 basis points, and the required lenders agreed to amendments to certain financial and negative covenants to allow Technicolor additional flexibility to incur secured debt and enter into other strategic transactions.
